1. About These Terms
These Terms of Service ("Terms") are a legally binding agreement between you and Agentic Labs (ABN 46 212 791 945) ("VXV", "we", "us", or "our"), the operator of the Vibe x Vibe platform accessible at vibexvibe.com ("Platform").
By creating an account, accessing the Platform, or using any of our services, you agree to be bound by these Terms and our Privacy Policy and Cookie and Fingerprinting Notice, which are incorporated by reference.
If you do not agree to these Terms, you must not use the Platform.
These Terms are governed by the laws of South Australia, Australia. Nothing in these Terms limits any rights you may have under the Australian Consumer Law ("ACL").
2. Definitions
- Creator: A user who purchases Credits to run design testing Campaigns on the Platform.
- Tester: A user who participates in Campaigns and earns Rewards.
- Campaign: A survey or A/B design test created by a Creator and distributed to Testers.
- Credits: The non-monetary units purchased by Creators to fund Campaigns. Credits have no cash value and are not redeemable for money.
- Wallet: A virtual balance held within the Platform representing a Tester's accumulated Rewards, denominated in Australian dollars (AUD).
- Rewards: Amounts credited to a Tester's Wallet upon successful completion of a Campaign.
- Payout: A transfer of funds from a Tester's Wallet to an external bank account, facilitated by our payment processor Stripe.
3. Eligibility
You must:
- be at least 18 years of age to use the Platform;
- have the legal capacity to enter into a binding contract under the laws of your jurisdiction;
- not be subject to any legal prohibition on using the Platform or receiving funds from us;
- provide accurate and complete information when registering and keep your account details up to date.
If you are registering on behalf of a company or organisation, you warrant that you have authority to bind that entity to these Terms.
4. Account Registration and Security
4.1 You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your login credentials.
4.2 You must not share your account with any other person or allow any other person to use your account.
4.3 You must notify us immediately at support@vibexvibe.com if you suspect any unauthorised access to your account.
4.4 We may suspend or terminate your account at any time if we reasonably believe these Terms have been breached.
5. Creator Terms
5.1 Purchasing Credits
5.1.1 Creators purchase Credits in packages via Stripe Checkout. All prices are displayed in AUD and are inclusive of GST where applicable.
5.1.2 Credits are consumed when a Campaign is active and receives responses. The number of Credits consumed corresponds to the number of completed Tester responses for that Campaign.
5.1.3 Credits are non-refundable once purchased, except as required by the ACL. Credits consumed by completed Campaign responses cannot be reversed.
5.1.4 Unused Credits have no expiry date but cannot be redeemed for cash.
5.2 Creating Campaigns
5.2.1 When creating a Campaign, you must set:
- the creative assets to be tested (images, copy, UI designs);
- the target demographic parameters;
- the number of responses required.
5.2.2 You are solely responsible for ensuring that the content of your Campaign (including all uploaded assets) complies with all applicable laws and does not infringe the intellectual property rights of any third party.
5.2.3 We reserve the right to remove any Campaign or asset that, in our sole discretion, is unlawful, offensive, defamatory, misleading, or in breach of these Terms, without refund of Credits.
5.3 Intellectual Property — Creator Content
5.3.1 You retain full ownership of all creative assets you upload to the Platform ("Creator Content").
5.3.2 By uploading Creator Content, you grant us a limited, non-exclusive, royalty-free licence to host, display, and distribute that content solely for the purpose of running your Campaign.
5.3.3 You warrant that you own or have a licence to use all Creator Content, and that it does not infringe any third-party rights.
5.4 Feedback and Response Data
5.4.1 Survey responses collected from Testers ("Response Data") are provided to you in aggregated and de-identified form via the Campaign analytics dashboard.
5.4.2 You may use Response Data solely for your own internal research and development purposes. You may not re-sell, distribute, or otherwise commercialise Response Data.
5.4.3 Response Data is provided "as is." We make no warranty as to the accuracy, completeness, or commercial utility of any Response Data.
6. Tester Terms
6.1 Participating in Campaigns
6.1.1 Testers access available Campaigns via the earn feed. Eligibility for specific Campaigns is determined by your demographic profile.
6.1.2 You must complete each Campaign honestly, attentively, and in good faith. You must not:
- use automated scripts, bots, macros, or any software to complete surveys;
- use browser extensions or tools that interfere with the Platform's bot detection systems;
- create multiple accounts;
- use VPNs, proxies, or other methods to falsify your location or identity;
- submit random, patterned, or otherwise dishonest responses.
6.1.3 Rewards are only earned for responses that pass our quality and integrity checks. Responses that do not pass are not eligible for Rewards.
6.2 Rewards and Wallet
6.2.1 Upon successful completion of an eligible Campaign, a Reward (currently AUD $0.15 per Campaign, subject to change) will be credited to your Wallet.
6.2.2 Wallet balances are denominated in AUD and represent a debt owed by us to you, subject to these Terms.
6.2.3 Your Wallet balance is not a bank deposit and is not covered by the Financial Claims Scheme or any government guarantee scheme.
6.2.4 We may set a maximum Wallet balance at our discretion. If your balance reaches this limit, you will need to withdraw funds before completing additional Campaigns.
6.3 Withdrawals (Payouts)
6.3.1 A minimum balance of AUD $5.00 is required to initiate a withdrawal.
6.3.2 Withdrawals are processed to the bank account you have verified through our payment processor (Stripe). You must complete Stripe's identity verification (KYC) process before making your first withdrawal.
6.3.3 ABN Requirement: If you are completing surveys in the course of carrying on an enterprise in Australia and you do not provide your Australian Business Number (ABN), we are required by Australian tax law to withhold 47% of each payment and remit this to the Australian Taxation Office. To avoid withholding, provide your ABN in your account settings.
6.3.4 We may impose daily or monthly withdrawal limits for fraud prevention and liquidity management purposes. Current limits are displayed in your Wallet settings.
6.3.5 We reserve the right to delay or refuse a withdrawal if:
- we have reasonable grounds to suspect fraud or a breach of these Terms;
- identity verification has not been completed;
- the withdrawal would violate our AML/CTF obligations.
6.4 Taxes on Tester Earnings
6.4.1 Tester Rewards are assessable income under Australian tax law (and may be assessable income under the laws of your jurisdiction if you are located outside Australia). It is your responsibility to declare all earnings to your relevant tax authority.
6.4.2 We do not provide tax advice. Please see our Tester Earnings Tax Notice or consult a registered tax agent.
6.4.3 We may be required to provide information about your earnings to the Australian Taxation Office or other regulatory authorities.
6.5 Forfeiture of Rewards
6.5.1 We may withhold, reverse, or forfeit some or all Rewards (and suspend or terminate your account) if we determine, acting reasonably, that you have:
- used automated tools or bots to complete surveys;
- created or used multiple accounts;
- provided fraudulent, random, or systematically dishonest responses;
- violated any other provision of these Terms.
6.5.2 Before forfeiture of material amounts, we will notify you of our determination and give you a reasonable opportunity to respond, unless we are required to act immediately to prevent further fraud.
7. Fraud Prevention (Vibe Guard)
7.1 The Platform employs automated fraud detection systems including:
- honeypot questions designed to detect automated or inattentive responses;
- device fingerprinting to detect multi-accounting;
- behavioural analysis (time-on-page, mouse movement, click timing) to identify bot-like patterns;
- third-party services including Cloudflare Turnstile and FingerprintJS.
7.2 By using the Platform, you consent to the collection of behavioural and device data for fraud prevention purposes as described in our Privacy Policy and Cookie and Fingerprinting Notice.
7.3 Determinations made by our fraud detection systems are subject to human review upon request. If you believe a Reward has been incorrectly withheld, contact us at support@vibexvibe.com.
8. Prohibited Conduct
You must not:
- use the Platform for any unlawful purpose;
- upload content that is defamatory, obscene, threatening, discriminatory, or in breach of any law;
- infringe any intellectual property rights;
- interfere with, disrupt, or overload the Platform or its infrastructure;
- attempt to gain unauthorised access to any part of the Platform;
- use the Platform to send unsolicited commercial communications;
- engage in any conduct that could bring the Platform or us into disrepute.
9. Intellectual Property — Platform
9.1 The Platform, including all software, design, text, graphics, and other content created by us, is owned by or licensed to us and is protected by Australian and international intellectual property laws.
9.2 Nothing in these Terms grants you any right, title, or interest in the Platform or our intellectual property.
9.3 You may use the Platform solely for its intended purpose in accordance with these Terms.
10. Third-Party Services
The Platform uses third-party services including Stripe (Creator payments and bank transfer payouts), Prezzee and/or GiftPay (gift card reward fulfilment), Supabase (database), Google Gemini (fraud detection AI), FingerprintJS (device fingerprinting), Cloudflare (security), and Resend (email). Your use of the Platform is subject to the applicable terms of those services. We are not responsible for the acts or omissions of third-party service providers.
Where Tester Rewards are fulfilled by a third-party gift card provider (Prezzee or GiftPay), the redemption and use of those gift cards is subject to the terms of the relevant gift card issuer. We are not responsible for the acts or omissions of gift card issuers once a gift card has been successfully issued to your registered email address.
11. Disclaimer of Warranties
11.1 To the extent permitted by law (including the ACL), the Platform is provided "as is" and "as available" without any warranty of any kind, express or implied.
11.2 We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.
11.3 We do not warrant that Response Data provided to Creators will meet any particular standard of accuracy or be fit for any particular commercial purpose.
12. Limitation of Liability
12.1 To the maximum extent permitted by law, our total liability to you for any loss or damage arising out of or in connection with your use of the Platform shall not exceed:
- for Creators: the amount of Credits you purchased in the 30 days immediately preceding the event giving rise to the claim; or
- for Testers: the balance of your Wallet at the time of the claim,
in each case subject to a maximum of AUD $100.
12.2 In no event shall we be liable for any indirect, incidental, special, consequential, or punitive loss or damage, including loss of profits or data.
12.3 Nothing in these Terms limits any guarantee, warranty, or right that you have under the ACL that cannot lawfully be excluded. If the ACL applies to our services and we cannot exclude a guarantee, our liability is limited (to the extent permitted by law) to resupply of the services or payment of the cost of having the services resupplied.
13. Indemnity
You agree to indemnify and hold us harmless from any loss, liability, claim, demand, or expense (including legal fees) arising from your breach of these Terms or your use of the Platform.
14. Suspension and Termination
14.1 You may close your account at any time via your account settings. Any vested Wallet balance above the minimum withdrawal threshold will remain withdrawable for 90 days after account closure.
14.2 We may suspend or terminate your account at any time if we reasonably believe you have breached these Terms, with notice where practicable. In cases of suspected fraud we may act without prior notice.
14.3 Upon termination, all licences granted to you under these Terms cease immediately. We may delete your account data in accordance with our Privacy Policy.
15. Business Transfer
If Agentic Labs or the Platform is acquired by, merged with, or transferred to a third party (whether by sale of assets, sale of shares, or otherwise), your personal information and account data may be transferred to the acquiring entity as part of that transaction. We will notify you of any such transfer by email or prominent notice on the Platform. The acquiring entity will be bound by the terms of our Privacy Policy as it applies to your data, or will notify you of any changes to how your data will be handled.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
17. Governing Law and Disputes
17.1 These Terms are governed by the laws of South Australia, Australia.
17.2 You and we submit to the non-exclusive jurisdiction of the courts of South Australia.
17.3 Before commencing any legal proceedings, you agree to contact us at legal@vibexvibe.com to attempt to resolve any dispute informally.
